Society Registration in Bangladesh

A society can be registered by any seven or more persons associated for literary, scientific, or charitable purposes, or for any purpose described in section 20 of this Act. This is done by subscribing their names to a memorandum of association and filing it with the Registrar of Joint Stock Companies.

Memorandum of Association

The memorandum of association must contain the following:

  • Name of the Society
  • Objects of the Society
  • Names, addresses, and occupations of the governing body, such as governors, council, directors, or committee members.
  • A certified copy of the society's rules and regulations, signed by at least three members of the governing body.

Registration of Societies

Upon filing the memorandum and the certified copy of the rules and regulations, the registrar will certify that the society is registered under this Act.

Fees to be Paid to the Registrar

Fees for the registration of a society and for matters mentioned in the Schedule to this Act must be specified in that Schedule or as directed by the Government.

Step 1: Name Clearance

  1. Obtain Name Clearance: Visit www.roc.gov.bd and create a username to apply for name clearance. You will receive a bank payment slip for BDT 230 to pay at the designated bank.
  2. After payment, log in to your account on the RJSC website to obtain the name clearance. The approved name is reserved for one month, which can be extended by submitting a request before the expiry date.

Step 2: Bank Account Opening (for Foreign Shareholders)

  • Open a bank account in the proposed society's name with a scheduled bank in Bangladesh.
  • Remit money equal to the shares owned by foreign shareholders from outside Bangladesh. The bank will issue an En-cashment Certificate required by RJSC for incorporation.

Step 3: Society Registration

  1. Submit all required information on the RJSC website, including uploading Form IX and Subscriber Page.
  2. After completing the process, you will receive a bank payment slip for the registration fees and stamp duty.
  3. Make the payment at the bank, then follow up with the RJSC for the incorporation certificate. If all documents are satisfactory, you will receive:
    • Certificate of Incorporation
    • Memorandum of Association (MOA) and Articles of Association (AOA)
    • Form XII These documents will be sent to your email associated with your RJSC account.

Post-Registration Formalities

You will receive documents issued by the Registrar of Joint Stock Companies (RJSC):

  • Certificate of Registration of Societies: This certificate contains the society registration number and name.
  • Additional necessary items include:
    • Share certificates for each shareholder.
    • Register for shareholders, shares, and directors.
    • Company common seal.
    • Rubber stamp for the company.

Applying for Trade License, Tax Identification Number, and Other Licenses

After incorporation, secure a commercial space and apply for a Trade License and Tax Identification Number. Depending on your business activities, you may need additional licenses.

Annual List of Managing Body to be Filed

Annually, a list of the governors, council, directors, or committee members managing the society's affairs must be filed with the RJSC on or before the fourteenth day following the annual general meeting or in January if no meeting is held.

Registration of Societies Formed Before the Act

Any society established for literary, scientific, or charitable purposes and registered under Act XLIII of 1850 can be registered under this Act, provided three-fifths of members present at a general meeting consent.
